No sil\u00eancio do contrato, o pagamento aos herdeiros deve ser em dinheiro, no prazo de 90 dias, contados da liquida\u00e7\u00e3o.<\/p>\n\n\n\n<p>Os s\u00f3cios sup\u00e9rstites tamb\u00e9m poder\u00e3o optar pela dissolu\u00e7\u00e3o da sociedade, liquidando todo o ativo, pagando o passivo e distribuindo aos s\u00f3cios \u2013 e, naturalmente, tamb\u00e9m aos herdeiros do s\u00f3cio falecido \u2013 eventual sobra.<\/p>\n\n\n\n<p>Por fim, o art. 1.028 tamb\u00e9m permite que o contrato social preveja outras solu\u00e7\u00f5es para o falecimento de s\u00f3cio.
